| The acceptance of any order form, or the sale of any Products to, the former customer of the Agent after termination of this Agreement shall not be construed as a renewal of extension thereof, nor as a waiver of termination. In the event that this Agreement is terminated without a new Agent’s agreement having been entered into between the parties, all indebtedness (of whatever nature) of either party to the other party shall become due and owing upon the date of such termination or expiration regardless of the terms previously agreed to in respect to such indebtedness.
