Whereas 
 
SECOND PARTY a resident in Sri Lanka, having a registered business, with the approval of the Board of Investment and other consultant work. In Sri Lanka.

Whereas:
 
FIRST PARTY has appointed SECOND PARTY to be their local representative in Sri Lanka.£¨just in this tender£©

Both parties have agreed as below:
1. SECOND PARTY is the local representative of FIRST PARTY.
2, Once the tender is awarded to FIRST PARTY by any client in Sri Lanka and Contract signed between FIRST PARTY and related Sri Lanka organization. FIRST PARTY shall pay a sum of 12 % of the Contract value in US dollar to SECOND PARTY as commission. FIRST PARTY shall pay the commission to the account appointed by SECOND PARTY within seven(7) days from the day FIRST PARTY get L/C payment. If it needs SECOND PARTY to pay local transport fee or other expenses those fee should be counted in the bidding price separately and pay to SECOND PARTY sepretary.
3, It is also agreed that SECOND PARTY shall be prepay any or all expenses incurred for bid tender  and any other incidental expenses with regard to the tender such as purchasing fee, post fee by courier, FIRST PARTY shall be liable of tender documents and all bond fee required in tender document and liable room&board expenses of come Shanghai seeing about our factory . Party B will be liable his own expenses.
4, The FIRST PARTY can not transfer the project to ant other party or parties.
5, It is also agreed that any defaults or disagreements regarding the payment of commission will be settled within the jurisdiction of the World Court. 
6, The agreement is valid from the day all parties signed through fax
7, All parties have agreed to keep confidence for the agreement.
