| | 我头一回做L/C, 碰到***UMENTS里有两点不是很明白,想请教一下各位: " Certificate of Quantity/Quality issued by the manufacturer" 请问这是什么数量质量***?? 应该不会是ISO***吧? "certificate of Origin issued by CCPIT(CHINA COUNCIL FOR PROMOTION OF INTERNATION TRADE) must be issued on or after Bill of lading 请问这个CCPIT中文应该是什么部门?中国外经贸吗? 还有这个***该如何去申请?会产生费用吗? 另外还有两段: ARTICLE 6 : INSPECTION and COMPENSATION
* The Buyer shall inspect the Goods on their arrival at the place of destination. If the Goods fail to conform with the Contract in either quantity and/or quality, then the Buyer shall notify the Seller of any discrepancy without delay within 30 working days of the Custom clearance of the Goods.
* If a material discrepancy in quantity exists and is duty notified to the Seller, the Buyer and the Seller shall toghether settle a delivered portion and the remaining portion of the Goods.
* Discrepancies in quality shall be considered a defects and shall give the right to claim. A fundamental discrepancy in quality shall give the Buyer the right to refuse Delivery of the Goods in whole or in part and to recover from the Seller all payment made for the unaccepted portion of the Goods as well as all cost, expenses and custom insurance or storage of the unaccepted portion of the Goods. ARTICLE 7 :ARBITRATION
Any discrepancy and or dispute arising in our commerce with this contract , if not being settled amicable ,shall be referred to the Vietnam International Arbitration centre located next to the Chamber of Commerce and Industry of Viet Nam . 大家觉得这样的写法对我们中国方有保障吗? 谢谢大家的帮助啊!

| 1)制造商自己出具的数量\质量***,不是ISO***!------用制造商的名义出具一份证明数量\质量的证明与LC要求相符等等内容的证明即可.
2)CCPIT,中国贸促会简写,与中国国际商会是一个机构两块牌子!----负责签发普通原产地证明!

| 第六条检验和赔偿(索赔)
买方目的地到货后检验,如货物无论数量还是质量任何一方面与合同不符,买方应在进口报关30个工作日内不延迟地通知卖方上述任何的不符.
数量方面存在实质性不符,并履行通知卖方义务后,买卖双方应共同处理已交付的部分货物和剩余未交付的货物.
质量方面的差异应视为质量缺陷,并由此(给予买方)索赔的权利.品质方面根本性差异将导致买方有权全部或部分已交付的货物.并由卖方归还未接受部分的货款以及(负担)为接受部分货物的所有费用\关税\保险和仓储费用.
第七条仲裁条款
本合同(履行过程)中产生的任何矛盾和争议,如不能友好协商解决,应提交坐落于越南工商业商会旁边的(?)越南国际仲裁中心仲裁!
-----这两条对于中国出口方都不是很有利!

| 还有,我要求对方公司同时签定我们自己拟订的合同,把仲裁地放在中国,这样如果产生纠纷的话,会以哪份合同为准呢? 谢谢提点!

| 合同条款双方谈妥后再签,同时签内容有差别的两个合同,如果产生纠纷肯定无所适从!

你回顾以下上面的合同条款:
* Discrepancies in quality shall be considered a defects and shall give the right to claim. A fundamental discrepancy in quality shall give the Buyer the right to refuse Delivery of the Goods in whole or in part and to recover from the Seller all payment made for the unaccepted portion of the Goods as well as all cost, expenses and custom insurance or storage of the unaccepted portion of the Goods.
感觉Discrepancies in quality,A fundamental discrepancy...说法都太笼统,***规定有详细的检验和区分标准!
