The under signed parties intending to be legally bound hereby, agree not to circumvent or obviate each other, directly or indirectly, to avoid or try to avoid payment of justified and agreed fees or commissions, in any transaction with any corporation, partnership or individual revealed by either party to the other in connection with any project, business endeavour or other transaction nor additions or re-agreements, parallel contracts or third party assignments thereof.

Nor shall either party disclose or reveal to any third party any confidential information provided by the other, directly or indirectly, particularly all information pertaining to sellers and buyers, e.g. Names, addresses, telephone, facsimile or telex numbers, bank information, etc., without the consent of the other.

The parties agree to be bound and to bind their companies and all their employees, associates, assignees and /or designees with the same undertaking.

This agreement can only be cancelled or amended after amicable negotiations initiated in writing by either party to the other.

Any controversy over this agreement or the interpretation thereof shall be settled by amicable negotiation.

If not successful then the dispute shall be settled by the ruling of the International Chamber of Commerce (ICC) preferably in a place jointly decided by the parties, failing that, in Paris, France, and in accordance with the latest issue of the ICC's format of a non-circumvention agreement. The ruling of the ICC is final and binding for the parties.

All facsimile communication is accepted as hard and official.

This agreement is issued with one original copy for each party.

AND
 
Miss Wang Xiao Xu,Shanxi Qingshan Chemical Industrial Co Ltd,Address:Yun-Lin Road Private Industry Zone Linyi Country Shanxi Province China,herein after referred to as the ¡°FUND MANAGER¡± (TRUSTEE) of the 2nd  part.

 
  
 
SECTION ONE: FACTS
 
1.          The INVESTOR personally expressed his interest in investing his money, hereinafter called as ¡°FUNDS¡±, in a profit oriented venture.
 
2.          The INVESTOR¡¯s FUNDS is currently situated in the Burkina Faso.  
 
3.          The INVESTOR personally contacted the FUND MANAGER to seek for assistance in determining the best investment facility that may be made for his FUNDS.
  
4.          The FUND MANAGER, after further negotiations with the INVESTOR, agrees to the INVESTOR¡¯s desired plans for investment of his FUNDS.
 
 
 
 
 
 

NOW IT IS MUTUALLY AGREED AS FOLLOWS:
 
SECTION TWO: MODALITIES.
 
1.                Both the INVESTOR and the FUND MANAGER agree that the latter shall use his professional expertise to materialize this investment of a determined Percentage of the INVESTOR¡¯S part of the money in the company
 
2.                In matters of negotiations, the FUND MANAGER acts as representative and is empowered to preserve the INVESTOR¡¯s discretion and interests. In the name of the INVESTOR he is authorized to procure all necessary information and data, which he needs to correctly carry out the assignment.
3.                 The FUND MANAGER is obliged  to take any decision without prior consent and approval of the INVESTOR such consent not to be unreasonably withheld.
 
4.                 The INVESTOR commits himself not to take any steps and decision nor to negotiate with any other institution or individual (s) without prior consent and approval of the FUND MANAGER.
 
  
 

SECTION THREE:
 
DISBURSEMENT AND MANAGEMENT OF FUNDS 
1.                 For the purposes of this transaction, the INVESTOR hereby consents that the FUND MANAGER shall facilitate the receipt of the capital investment which will be under the FUND MANAGER¡¯s name.  
2.                 The INVESTOR shall remit to the FUND MANAGER the above capital investment amounting to USD31,000,000.00
3.                 The INVESTOR and FUND MANAGER agree to set aside 3% of any and all forms of FUNDS, whether this be initial capital investment or borrowings, as a separate fund for set-up or organizational costs and expenses.
4.                 Upon receipt of the above FUNDS, the following disbursement and things shall be done by the FUND MANAGER.
 
a.            All running costs and expenses incurred by fund manager and any party to this agreement shall be determined and appropriate re-imbursement made to such party/parties in such a way and manner as the party/parties may desire. Such re-imbursement for expenses shall be done from 3% of the total fund set aside for such.
b.           the equivalent of 20% of the total fund, whether this be initial capital investment or additional funds, shall be appropriated by the FUND MANAGER as fees for services in implementing the investment plan.  The FUND MANAGER has the right to withhold the whole share of 20% (commission and additionally reimbursement of expenditure) on a nominated account by her. 
 
      
 
SECTION FOUR : 
AMENDMENT 
Any amendment to this contract shall be in writing and shall be signed by both parties.
SECTION FIVE :
EXPENSES  
All expenses incurred by fund manager to this contract shall be reimbursed from the 3% sum upon the receipt of all the funds in his custody. 
SECTION SIX :
CONTRACT VALIDITY
Should one of the provisions of this contract not considered applicable or valid for any reason, such event shall not prejudice the validity and efficacy of the remaining articles/clauses of the contract. 
 
SECTION SEVEN : 
TERMINATION OF CONTRACT 
The present contract could be cancelled for reasons to be ascribed to one of the contracting parties. In case of default by the FUND MANAGER the later shall reimburse the INVESTOR the amount of calculated damages involved. In case of default by the INVESTOR the later shall reimburse the fund manager the amount of calculated damages involved.

This letter is to introduce to you the above named persons, ShenYang BaoYue Foreign Trade  *ÓòÃûÒþ²Ø* ., as a Nominee and privy to the arrangement for movement of my consignment from you to such designated bank or location as may be required by my newly appointed Nominee, either in my presence or absence.

ShenYang BaoYue Foreign Trade  *ÓòÃûÒþ²Ø* ., the newly appointed Nominees, promises to comply with all statutory conditions of the company with which the funds are kept for safe custody and perfecting for banking purposes.  

That the Nominee promises to keep all correspondence private and confidential in the sense that all related information shall not be revealed to a third party without due permission from Diplomatique Du Malaysia.

That the Nominee will follow the guidance and instructions of the custodian party of Diplomatique Du Malaysia, and that the Nominee will not put the position of the holding party (DOM) into a situation whereby any action against DOM would jeopardize the position of funds.  

That the Nominee recognizes the delicate nature of the situation and the sensitivity of the circumstances surrounding the availability of the funds in Malaysia. The Nominee hereby agrees to comply with the entire requirements to guide the funds to the appropriate designated bank account(s) etc.

That for his assistance he shall be allowed complete unrestricted access and jurisdiction of the above mentioned $31,000,000.00 for his personal use and investment, initially and forever, and
