This memorandum of understanding is made between Importer & Exporter, Whose are give below on.
此理解备忘录由进出口双方签订，内容如下：

*域名隐藏* ndum of understanding (MOU) valid for 3 (Three) years.
A. 此备忘录有效期为3年
B.A prior notice of 90 (Ninety) days to be served to discontinue business by either the parties is required.
B.如任何一方要终止业务关系，必须提前90天发出通知。
*域名隐藏* Product price may change by serving a prior notice of 60 (Sixty) day.
C.在提前60天发出通知的前提下，产品价格可以改变。
*域名隐藏* Importer could be sealing the product of exporter to related of another Bangladeshi interested person/importer/party and for that, this contract of importer will as Agent of this Exporter and for that exporter will be refund commission / over price of value by T.T payment within 5 (Five) days after shipment.
D.进口方必须对出口方的产品向孟加拉国其他（对该产品）感兴趣的人/进口商保密，并且，合同中的进口商作为出口商的代理，必须在（货物）装船后5天之内，通过TT向出口方退还佣金/超出价格部分的金额。 （感觉这一段，特别是***句理解可能有问题） 2. Payment: -
2. 付款方式：
*域名隐藏* Sight L/C and a condition of 10 % of the total (L/C & T.T Advance payment) value to be retained against warranty coverage.
A.即期信用证，且总金额（L/C&TT预付）的10％作为担保金。 *域名隐藏* er will nominated surveyor at his cost to determine the defect & warranty fails of goods, If any, will be cover as per survey report and balance amount will be liable to transfer to beneficiary in case if the detained amount is not sufficient to meet the warranty in that case the Exporter will adjust in the next shipment based on landing cost. B.由出口方承担费用（at cost词典意思是按照成本，但我觉得在这里应该是指他们承担费用）并***监测机构对货物进行检测，如有缺陷或与担保书不符之处，须根据检测报告将余额付至受益人。如果，缺陷货物导致货物数量不足，可由出口方根据码头费用对下一批货进行调节。 *域名隐藏* ted surveyors are at liberty to inspect goods any time the exporter & Importer desire to check and balance & noticed warranty fails and defect goods. C.***的检测机构有权随时对进出口方希望检测的货物，结算与担保书不符之处和有缺陷货物，并做出通知。（晕死了，全乱了） *域名隐藏* lly survey Time is once in a year. D.检测次数一般为一年一次。 3. C.供应商须根据目录***担保范围，如出现进、出口方、工厂过失和其他技术问题，应判断是否为供应商的责任。（不懂） *域名隐藏* ation:- 4.仲裁： In Cash of any dispute between importer and exporter the settlement would reach by the help of local Chamber of Commerce and both party will accept to easily.（CAO，哪里有这样说话的） 进出口双方如发生纠纷，应在当地商会协助下解决，双方须认可。 5. Natural Calamities:-
In Case of any natural calamities, like, Cyclone, flood, Earth Quake this agreement will not come in to effect. 5.不可抗拒力：
如遇飓风、洪水、地震等自然灾害，则此协议无效。
